Nanny Background Check Service Agreement: This service agreement is made and entered into by and between the undersigned (who shall be referred to as “Customer or “Applicant). By submitting the information required by this agreement and entering in your credit card number for payment of nanny background check services, the Customer hereby agrees to be fully bound to the terms of this contract. Customer Use Limitations and Responsibilities: Customer acknowledges and warrants that the background check provided by the Company is for the single purpose of evaluating a potential employee and for no other purpose whatsoever. Customer assumes full responsibility for final verification of applicant’s identity. Customer recognizes the sensitive nature of this information and agrees that all background check information received is for a one-time use only and that all such information will be kept strictly confidential and shall not be disclosed to any third parties who are not involved in the employment decision. Customer agrees to comply with all Federal, State and Local statutes and regulations governing fair information practices including but not limited to the EEOC regulations, Fair Credit Reporting Act (see 15 U.S. C. 1681 (b)), the Driver’s Privacy Protection Act of 1994 (see 18 U.S.C. 2721) and their respective state analogues. Customer shall indemnify and hold the Company harmless from any and all costs and liabilities that may be brought against the Company based on the improper or illegal use of this background information. Information: Customer understands and acknowledges that the Company receives its information from databases and records that have been created and maintained by fallible sources including but not limited to: federal, state and county courts, police departments, departments of motor vehicles, various government agencies, private companies and other contributors which are not under the control of the Company. Customer acknowledges that all information provided by the Company is only current as of the date provided and is made available on an “as is” basis. Customer understands that background screening is not an exact science and that background information furnished to Customer by the Company may not be 100% accurate or complete. Independent Parties: Customer agrees the relationship created by this agreement shall be constituted solely as one of independent contracting parties and not of partnership, principal and agent or similar obligation. Company shall be regarded as an independent entity at all times and shall at no time act as an agent, employer, or employee of the Customer. Customer agrees that employees of the Company cannot offer analysis or opinions of any information obtained from any background check and that all hiring actions are based on the personal policies and decisions of the hiring family or nanny agency. Limitation of Liability: Customer agrees to release, indemnify, defend, and hold harmless the Company, its employees, directors, agents, and representatives, from and against any and all direct or indirect liabilities, obligations, losses, damages, penalties, fines, punitive damages, amounts in settlement, claims, actions, proceedings, suits, judgments, costs, interest, expenses and disbursements of any kind and nature whatsoever arising under any theory of legal liability (including attorneys fees and costs) that may be imposed on, incurred by or asserted against the Company, its employees, directors, agents, or representatives, in any way relating to, resulting from based upon, or arising out of any errors or omissions in the background information supplied to the Company.Limitation of Damages: In the event the Company is liable to customer for any matter arising under or relating to this agreement, whether arising in contract, equity, tort or otherwise (including without limitation any claim for negligence), the amount of damages recoverable against the Company for all such matters will not exceed, in the aggregate the amount paid to the Company by customer for the service to which a given claim relates provided pursuant to this agreement, and recovery of the amount is customer’s sole and exclusive remedy hereunder. Attorney’s Fees: If any action at law or in equity, arbitration or other proceeding is brought for the enforcement or interpretation of this Agreement, or because of an alleged breach of the provisions of this Agreement, or in any way arising out of the transactions contemplated by this Agreement, whether sounding in tort or contract or otherwise, the Company is entitled to recover reasonable attorney’s fees and other costs incurred in connection with such action, arbitration or other proceeding (including, but not limited to, expenses and costs of investigation, witness fees and travel), in addition to any other relief to which the Company may be entitled. Arbitration: Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitrator shall not be authorized to award either party extra contractual damages (i.e., compensatory or punitive damages). In the event of a breach of this Agreement, damages shall be limited to an award as specified in the “Limitation of Damages” section above. The site of the arbitration shall be Centennial, Colorado. Contract in Entirety: This Agreement contains the entire understanding of the parties relating to the subject matter contained herein and supersedes all prior written or oral and all contemporaneous oral agreement and understanding relating to the subject matter hereof. This Agreement cannot be modified or amended except in writing duly executed by both parties. This Agreement shall be binding upon and injured to the benefit of the Company and its successors and assigns and Customer and its successors and assigns. Governing Law and Venue: This Agreement shall be controlled, construed and enforced in accordance with the laws of the State of Colorado. Any claim or cause of action shall be brought by either party in the County of Arapahoe in the State of Colorado. Headings and Severability: The section and other headings contained in this Agreement are inserted only as a matter of convenience and for reference, and do not affect, define or limit the scope, meaning, intent or interpretation of the text of this Agreement. Any unenforceable provisions of this Agreement will be modified to the extent necessary to make it enforceable or, if that is not possible, will be severed from this Agreement, and the remainder will be enforced to the fullest extent possible. Each Party has read and considered this Agreement carefully, believes that each Party understands each provision, and has conferred, or has had the opportunity to confer, with independent legal counsel before executing this Agreement. IN WITNESS WHEREOF, the parties have executed this Agreement at the time of submission below, I hereby consent to use of this electronic method of contract acceptance under the United States Electronic Signatures in Global and National Commerce Act (E-SIGN Pub L. No 106-229, 114 Stat. 464 (2000) (codified at 15 U.S.C. 7001 et seq) By placing this order for a Nanny Background Investigation, Customer fully understands and agrees to the terms and conditions in this agreement. Refund Policy Once you place your order, administrative and credit card processing costs are incurred. Your background check is processed immediately following receipt of your candidate’s web form and driver’s license. If you need to cancel your order prior to us receiving your nanny’s information, please send us an email request. At this time, you can select one of the two following options: 1. Request a 75% refund 2. Request a free background check on file Note: There are no refunds or replacements once we have received your candidate’s web form and driver’s license.
